  1. AMENDMENT

We reserve the right to modify or amend this policy at any time, for any reason, or for no reason at all, at BeepTool’s sole discretion. Users will be notified of any change in our policy and such would be posted on BeepTool’s websites and other communication formats.

  1. ELIGIBILITY

BeepTool affordable smartphone offer is based on income level with our focus primarily on people living below $2 PPP a day. People in the focused income category who resides in areas presently covered by cellular internet coverage will be the first beneficiary while the latter stage will include users living in a rural and remote location with no cellular nor internet coverage.

People not included in the above categorization can purchase the smartphone at full delivery cost. Such will be enrolled on the advertisement platform at the exclusive discretion of the owner.

  1. PRE-ORDER OF SMART DEVICE(S)
  2. INFORMATION & PRIVACY
  3. When placing a Pre-Order for BeepTool devices, you will be required to provide certain information, such as your address and billing information. You represent and warrant that all such information is accurate, and you shall ensure that such information is kept current.
  4. BeepTool shall have no responsibility or liability for inaccurate information or information that later becomes outdated, and shall have no obligation to make efforts to determine the correct contact or shipping information. You can update your information at any time prior to your product being shipped by sending an e-mail to sales@beeptool.com.
  5. You acknowledge and agree that BeepTool may decline or delay reservations to avoid oversubscription or as it deems appropriate, provided that we will make efforts to inform you and that you will be entitled to a full refund of the purchase Price.
  6. BeepTool will ensure security and privacy of all data supplied in accordance to the company’s data privacy policy and local and national regulations
  1. PRE-ORDER PAYMENT

You will be charged the full pre-order product price at the time of placing the pre-order.

You also acknowledge that your pre-order will not be confirmed until the full payment of the pre-order cost has been received.

  1. RESERVATION APPROVAL
  2. You agree that BeepTool reserves the right to determine the criteria for approval of reservation made on our websites or any other platform. A notice of either approval or disapproval will be sent to you through address provided in the registration form.
  3. Approved reservation will be scheduled for delivery on first come first serve basis with a notice of delivery sent to the user.
  4. Reservations not approved shall be entitled to a full pre-order refund without interest.
  1. PRE-ORDER CANCELLATION

You or BeepTool may cancel this reservation by terminating the pre-order at any time for any or no reason prior to our notice to you that your product is ready for delivery. If you do so prior to our notice of delivery, you will obtain a refund of the pre-order price without interest. If BeepTool cancels your reservation you will receive a full refund of the pre-order price without interest (and you will not pay any processing fee).

  1. SMART DEVICE DELIVERY

Although we will make efforts to begin delivering products as soon as reasonably practicable, you understand and agree that there may be delays. An estimated time of delivery (ETD) is only an estimate, is subject to change, and BeepTool does not represent or warrant that it will be able to ship the product by the estimated date.  As a result, in the event that a delay arises and the estimated shipment and/or release of the product is not met, BeepTool is not responsible for any damages that may occur due to the delay, nor shall it be obligated, except as set forth in these Terms, to provide any discounts, refunds or credits due to any such delays. We will provide you periodical updates with respect to such delivery schedule. If for any reason you decide that you do not wish to continue to wait for your product, you may cancel your reservation and your refund will be processed.

  1. PRODUCT DEFECT, DAMAGE, AND RETURN

BeepTool’s supplied devices have a manufacturing defect(s) warranty. Any device that has significant manufacturing defect shall be repaired or replaced, depending on the severity of the defect, free of cost to you.

  1. Product with manufacturing defect should be returned as soon as they are noticed.
  2. Devices that are received damaged should be reported immediately and returned within a week of delivery, a replacement or repair will be done free of cost. Device damage that are reported long after delivery shall be deemed to be caused by the user.
  1. PRODUCT REGISTRATION

All devices sold under the ($1 or local currency single note equivalent rate) are automatically registered on BeepTool’s device management server.

BeepTool reserves the right to use geolocation services to know the location of the device

  1. LOST, STOLEN OR BROKEN DEVICES

You agreed that any case of device loss including robbery and damage to the device is at the user’s risk and the following apply

  1. In case of robbery or stealing, such must be reported at the nearest police station and BeepTool authorized to track and retrieve the device. The cost of this service shall be borne by the user.
  2. In case where the device could not be recovered, BeepTool will demand a payment of $75 or local currency equivalent which is due immediately. The device will be locked and made unusable to the thief.
  3. In case of physical or software damage caused by user, BeepTool will replace broken or damaged parts or restore services with the cost borne by the user.
  4. You are not allowed to repair any damage or defect of the device on your own without a written permission of BeepTool or its agent.
  1. DEVICE CONNECTIVITY

Devices are not smart without connectivity, you, therefore, agree to provide a continuous wi-fi or data connectivity for the device. In event that a user cannot guarantee personal data connection, you agree to recharge your data plan with a minimum of NGN750 monthly in exchange for 1GB data and bundled calling plan from BeepTool. Refusal to provide connectivity for one month in case of personal connectivity or pay for connectivity in two consecutive months will lead to remote locking of the device and attempt to recover the device by BeepTool.

  1. REMOTE SERVICES AND ADVERTISEMENTS

You understand and agree

  1. That all devices sold under the ($1 or local currency single note equivalent rate) are the property of BeepTool CIS Ltd for a period of 24 months after registration
  2. That BeepTool reserves the right to remotely operate the device and make changes to software layout, install and uninstall apps, without prior notice or your approval.
  3. That BeepTool can send you text-based, graphical, interactive, rich media, social, e-mail, video or other online advertisement through the device.
  4. BeepTool reserves the right to remotely lock and attempt to recover a device if you are found to be using it for negative contents including but not limited to harassment, intimidation, terrorism, etc.
  5. That BeepTool may provide third party content to the user through the device
  6. The device would be released to the user completely, free of any listing, remote services and advertisement after 24 months.
  1. INDEMNIFICATION

You agree to indemnify and hold harmless BeepTool, its subsidiaries, affiliates, successors, assigns, directors, officers, agents, employees, service providers, and suppliers from any claims and expenses, including reasonable attorney’s fees and court costs, arising from Content that you have posted, stored or otherwise transmitted on or through the device or your breach of terms of this Agreement.

  1. GOVERNING LAW

This Agreement shall be governed by and construed under the laws of Nigeria without giving effect to its conflict of law principles.

In the event of any controversy or claim arising out of/or in relation to any provision of the Agreement the breach or invalidity thereof, the Parties shall try to settle the problem amicably between themselves.  Should they fail to agree, any such controversy or claim shall be settled by arbitration administrated by National Industrial Court of Nigeria (NICN) in accordance with the rules of arbitration procedure adopted by the NICN and in force at the time when such proceedings are commenced. The arbitral tribunal shall have its seat in Nigeria. The language of the arbitration proceedings shall be English.
